Acceptance of these terms

By accessing or using axisconnectedtech.com (the "Site"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, please do not use the Site.

These Terms form an agreement between you and Axis Connected Technologies, LLC (referred to in these Terms as "Axis," "we," "us," and "our").

Eligibility and minimum age

You must be at least 13 years old to use the Site or to submit information through any form on the Site. By using the Site, you represent and warrant that you meet this minimum age requirement. If we learn that we have collected information from a person under 13, we will delete that information from our active systems. See our Privacy Policy for details.

Scope — website use only

These Terms govern your use of this website only. They do not constitute, and are not intended to constitute, a contract for the provision of installation, integration, networking, audio/video, access control, surveillance, structured cabling, home automation, DIRECTV, or any other physical-world services that Axis offers.

Any services Axis may provide to you will be governed by a separate written agreement between you and Axis, signed by both parties, that sets forth the scope of work, deliverables, pricing, warranties, and the parties' respective obligations and liabilities.

No service contract formed by site use

Information presented on the Site — including service descriptions, pricing references, project galleries, certifications, partner listings, and case studies — is provided for informational purposes only. Nothing on the Site constitutes an offer to contract, and submitting a lead form, requesting a quote, or otherwise contacting us through the Site does not create a service contract or any other binding obligation on Axis.

Any agreement to provide services will be created only by a separate, written, signed agreement between you and Axis that expressly references and accepts that agreement's terms. Prices, specifications, and timelines shown on the Site are subject to change and are not binding until included in a signed service agreement.

Intellectual property and portfolio content

All content on the Site — including text, graphics, logos, images, photographs, videos, software, and the selection and arrangement thereof — is the property of Axis Connected Technologies, LLC or its licensors and is protected by United States and international intellectual property laws.

You may view, share, and print Site content for your personal, non-commercial reference. You may not reproduce, modify, distribute, or create derivative works from Site content for commercial purposes without our prior written consent.

Project photography on the Site is published with the consent of the relevant property owners. Manufacturer logos and product names (including QSYS, Ubiquiti, UniFi, DIRECTV, Elan, and Nice) are trademarks of their respective owners; their appearance on the Site reflects Axis's relationship with each manufacturer and does not imply endorsement of the Site by those manufacturers beyond that relationship.

Acceptable use

You agree not to:

• Use the Site in any way that violates applicable law or regulation.
• Attempt to gain unauthorized access to the Site, its servers, or any related systems or networks.
• Interfere with the operation of the Site, including by introducing malware, conducting automated scraping at scale, or overwhelming the Site with traffic.
• Use the Site to harass, defame, or harm any person.
• Misrepresent your identity, affiliation, or intent when submitting any form or communication through the Site.
• Use any data obtained from the Site (including project photography) for commercial purposes without our prior written consent.
• Reverse engineer, decompile, or disassemble any part of the Site or its underlying software, except to the extent applicable law expressly prohibits that restriction.

We reserve the right to investigate suspected violations of these Terms and to cooperate with law enforcement authorities.

Lead forms, automated qualification calls, and electronic communications consent

By submitting a lead form on the Site, you provide your express written consent for Axis Connected Technologies and our authorized service providers (including GoHighLevel and Retell AI) to contact you at the phone number, email address, and physical address you provide. Methods of contact may include:

• Phone calls — including calls placed by an automated AI voice agent
• Email
• Text messages (SMS)

The purpose of these communications is to qualify your inquiry, schedule appointments, and discuss services. Standard message and data rates may apply. Your consent to receive automated calls is not a condition of any future purchase.

You may revoke consent and opt out at any time by:

• Replying STOP to any text message we send
• Clicking "unsubscribe" in any marketing email we send
• Contacting customersupport@axisconnectedtech.com to request that we stop contacting you

Third-party links and services

The Site may contain links to third-party websites or services that are not owned or controlled by Axis Connected Technologies. We are not responsible for the content, privacy practices, or terms of those third parties. Your use of any third-party site or service is at your own risk and is subject to that third party's own terms and policies.

Disclaimers and no-warranty

The Site and all content, information, materials, and functionality made available on or through the Site are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, Axis Connected Technologies disclaims all warranties, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, reliability, or timeliness of any content on the Site, including without limitation pricing references, service descriptions, and project galleries.

This section does not waive any non-waivable consumer rights you may have under applicable law, including under the Florida Deceptive and Unfair Trade Practices Act.

Limitation of liability (website use only)

To the fullest extent permitted by applicable law, in no event will Axis Connected Technologies, its affiliates, or its officers, directors, employees, agents, or service providers be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of or inability to use the Site, whether based on contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to the Site will not exceed one hundred United States dollars (USD $100).

This limitation of liability applies only to your use of the Site. It does not apply to, modify, limit, or supersede any obligation, warranty, or liability that may arise under a separately signed agreement between you and Axis for installation, integration, or other services we may provide to you. The terms of any such service agreement — including its own limitation-of-liability and indemnification provisions, insurance requirements, and warranty terms — govern those services exclusively.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the foregoing limitations may not apply to you to the extent prohibited by applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless Axis Connected Technologies, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your violation of these Terms, (b) your misuse of the Site, (c) your violation of any applicable law or any rights of a third party, or (d) any content or information you submit through the Site.

DMCA copyright complaints

We respect the intellectual property rights of others. If you believe that material available on or through the Site infringes a copyright you own or control, you may submit a notification under the Digital Millennium Copyright Act (DMCA) by providing our designated agent with the following information in writing:

• A physical or electronic signature of a person authorized to act on behalf of the copyright owner.
• Identification of the copyrighted work claimed to have been infringed (or a representative list, if multiple works are covered).
• Identification of the material that you claim is infringing, with information reasonably sufficient to permit us to locate it on the Site.
• Information sufficient to permit us to contact you, including your physical address, telephone number, and email address.
• A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.

Governing law, venue, and dispute resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Lee County, Florida, and you consent to the personal jurisdiction of those courts. You waive any objection based on inconvenient forum.

Nothing in this section requires arbitration of disputes between you and Axis Connected Technologies, and we do not require you to waive your right to a jury trial for disputes arising from your use of the Site.

Force majeure

Axis Connected Technologies will not be liable for any failure or delay in performance of the Site, or of these Terms, caused by events beyond our reasonable control. Such events include, without limitation: acts of God; hurricanes, tropical storms, and other severe weather (a recurring risk in Florida); labor disputes; supplier or vendor failures; cybersecurity incidents (including denial-of-service attacks, ransomware, and supply-chain compromises); failures of hosting providers, content delivery networks, or other third-party services; governmental actions, sanctions, or embargoes; and epidemics, pandemics, or public health emergencies.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while remaining consistent with the parties' original intent.

Modifications to these terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be announced on the Site or, where reasonable, by email. Your continued use of the Site after the effective date of any change constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, your sole remedy is to stop using the Site.
